Prepare a freight brokerage account-continuity file
Published . General preparation guidance; business-specific questions require qualified professional review.

A brokerage preparation file should explain the relationships and work behind the loads. Start with the operation you actually run, whether it is a stand-alone brokerage or part of a business that also provides forwarding, warehousing or carrier services. Keep those service lines distinct so a future conversation does not mix unlike economics or responsibilities.
Connect the account view to the accounting view
Create a private customer schedule that reconciles revenue and gross profit to your accounting records. Define the period and explain how the business records carrier costs, adjustments and claims. A screenshot from a transportation management system may use different timing or categories from the financial statements.
Summarize concentration by customer and service line without pasting customer identities into an online checklist. Ask your accountant to explain material differences between operational reports and the ledger before presenting a combined story.
Document who keeps each account working
For each important account, privately record the sales relationship, day-to-day account coverage and escalation route. Identify what the owner alone handles. The goal is to show responsibilities and continuity, not to make unsupported promises about customers staying after a transaction.
Gather customer agreements, carrier-vetting procedures and technology arrangements. Have counsel review renewal, assignment, confidentiality and access provisions. Distinguish a documented operating process from an informal habit that lives in one person’s memory.
Keep authority questions outside the commercial assumptions
FMCSA publishes specific guidance on ownership changes and Operating Authority. Use the current agency process with transportation counsel; do not assume an asset purchase, equity transaction or new entity has the same registration consequences. The facts and structure matter.
Finish with a short list of unresolved questions, the record needed to answer each one and the person responsible for obtaining it. The SBA’s sale guidance can orient the broader transaction discussion. Neither source establishes the value of this brokerage or guarantees customer retention.
